- Legal Counsel with a focus on Global Construction (Yard Framing and Subcontracts) within the Global Resources & Services (GR&S) function, supporting multiple Product Lines
- Reports to: head of Legal for Global Resources & Services
- Liaises internally with: Legal Counsels, Contract Managers, Subcontract Managers, Compliance Officers, Insurance, Tax & Financial Counsels, Project Managers, Managing Directors, Product Line Directors & Sales Managers
- Location: Kuala Lumpur, Malaysia
- Providing accurate, relevant, and timely advice to a variety of legal topics in support of the Global Construction (Yard Framing and Subcontracts group) within the Global Resources & Services (GR&S) business line, from Request for Quotation (RFQ) stage up to Subcontract close-out, with a particular focus on major subcontracts with shipyards for (i) Topsides module fabrication and integration work for Floating Production Storage and Offloading vessels (FPSOs), (ii) Floating Storage and Offloading vessels (FSOs), (iii) Construction of hulls for its Multi-Purpose Floater (MPF) program and (iv) EPC(I) for topside modules or key packages
- Drafting, reviewing, and negotiating various commercial contracts and agreements, utilizing both standard templates utilized by them and industry standard templates, including shipbuilding contracts, yard contracts for the construction of topsides modules, vessel conversion, turrets, mooring systems, EPC(I) contracts, Memoranda of Agreements (MoAs), MOUs, confidentiality agreements and the like
- Providing support, assistance and legal advice to the project teams (including Subcontract managers( during Yard Framing initiatives and RFQ processes
- Providing support, assistance and legal advice to the project teams (including Subcontract managers) during the execution phase, including review of Variation Orders, drafting contract amendments, drafting notices and project correspondence
- Assessing, proposing (and where appropriate) ensuring and managing, adequate mitigation of legal risks to the project teams and GR&S business line.
- Providing support and legal advice in respect of all claims under above types of Subcontracts, including claims for EOT, additional costs and the like
- Providing support, assistance and legal advice in delivery of vessels including MPF hulls and FPSOs
- Managing and prioritizing tasks to meet deadlines from the Global Construction and Subcontracts group and where necessary the wider GR&S business line, often within tight timeframes.
- Ensuring compliance with all laws and regulations that apply to the business.
- Promoting legal, compliance and risk management best practice throughout the company.
- Communicating with and managing certain third-parties such as external counsel, experts and/or auditors in line with its legal services procurement processes (including providing feedback on legal panel performance).
- Staying up to date with changes to legislation and case law, particularly in relation to laws, rules and regulations that directly affect the Global Construction and Subcontracts group.
- Providing input on and/or proposing adequate legal tools/contractual set-ups to serve it’s primary business goals.
- Designing and delivering legal training to the business as needed in line with its Training Calendar initiatives.
- Liaising with the business leaders and support functions.
- Reporting and updating LCCI Leadership Team, head of Legal for GR&S and Product Line Directors on key legal issues and risks, including lessons learnt and improvement areas for the business.
EDUCATION:
- Law degree common law, or civil law with sound common law working experience
- Fluent in English (spoken and written) (Mandarin and Cantonese language skills are a plus)
EXPERIENCE:
- A minimum of 5 years PQE as in-house lawyer or in private practice a must
- Experience in major construction projects, particularly offshore oil & gas, shipbuilding, EPC(I)
- Experience of working with shipyards in Asia (and elsewhere)
