Legal Counsel – Finance & Corporate Affairs Division About the Role

We are seeking an experienced Legal Counsel to take a leading role within the Financial Control & Legal department. In this position, you will act as the primary legal authority for a broad portfolio of Dutch and international entities (approx. 80), supporting their holding, financing, and business activities, with a strong focus on the energy sector (E&P and carbon capture projects).

You will report directly to the Head of Finance Control & Legal and collaborate closely with internal teams, senior management, and international legal counterparts.

 

Key Responsibilities 1. Legal Support for Dutch Holding & Financing Entities
  • Serve as the main legal advisor to multiple holding and financing subsidiaries.

  • Act as Company Secretary and provide legal guidance to Supervisory Boards.

  • Support entities with foreign activities, working with HQ or local legal teams on topics such as farm-in/farm-out agreements and branch-related matters.

  • Manage the lifecycle of BV companies, including incorporations, liquidations, restructurings, share transfers, and legalizations.

  • Ensure compliance with Dutch legislation and guarantee that the Dutch corporate structure remains fully up to date and legally sound.

  • Organize statutory meetings and prepare resolutions, reports, and minutes.

  • Track claims and litigation in collaboration with international legal departments.

  • Monitor regulatory developments and assess their impact on the business.

  • Support internal and external audits.

  • Oversee and guide the work of a paralegal.

2. Legal Reporting & Governance
  • Maintain complete and accurate archiving of legal documents, including powers of attorney.

  • Collect and file patrimonial contracts (SPA, Farm-in/out, PSC, Concession, etc.).

  • Manage and update the database of group companies and the corporate organizational chart.

  • Ensure group-level legal systems and databases remain current.

  • Coordinate with HQ Legal to secure timely board approvals and ensure correct authorization for key transactions.

3. Legal Support for Exploration, Production & Carbon Capture Projects
  • Advise on all legal aspects of E&P and CCS operations.

  • Draft, negotiate, and implement agreements necessary for these activities.

  • Ensure compliance with laws, regulations, contractual frameworks, and corporate governance standards.

  • Monitor evolving regulations related to carbon neutrality, public procurement, and competition law.

  • Conduct legal research and prepare summaries, analyses, and internal guidance materials.

Working Environment In this role, you will work closely with the Finance Control, Legal, and Tax teams, as well as senior management and international legal colleagues. You will be recognized as the final responsible legal expert for all Dutch corporate legal matters within the group structure.

 

Your Profile
  • 5+ years of experience in private practice or as in-house counsel.

  • Strong expertise in Dutch corporate law is essential.

  • Familiarity with the Oil & Gas sector, specifically exploration & production, is a strong advantage.

  • Proactive, responsive, and collaborative team player with strong communication skills.

  • Comfortable managing complex corporate structures and cross-border legal topics.
