Legal
- Draft, review, and revise a wide range of commercial agreements and legal documents, including joint venture agreements, development and construction agreements, property management agreements, lease and service agreements, sale and purchase agreements, MOUs, and NDAs.
- Assess legal implications for executive management and ensure compliance with statutory and regulatory requirements.
- Negotiate legal terms and conditions of contracts and other documentation; advise on new business ventures and transactional matters.
- Lead and coordinate legal due diligence processes for acquisitions and divestments, including liaising with external advisors to ensure smooth transactions.
- Provide comprehensive legal advice on commercial law, contract law, corporate law, and land law.
- Manage compliance and corporate governance processes.
- Oversee proper filing and maintenance of legal documents, both physical and electronic.
- Lead, coach, and develop the legal team to meet current and future business needs.
- Conduct training sessions and provide guidance to internal stakeholders on key legal and compliance topics.
- Advise management on legal risk management and protection strategies.
- Develop and implement work processes, procedures, and digital tools to enhance efficiency in legal and compliance operations.
Company Secretary
- Organize and coordinate Board of Directors and Shareholders’ meetings, including preparation of agendas, meeting materials, and minutes.
- Ensure the Company complies with applicable corporate governance requirements, securities laws, and regulatory filings.
- Maintain and update the Company’s statutory books, registers, and records in compliance with legal requirements.
- Prepare and submit statutory filings to government authorities (e.g., DBD, SEC, SET if applicable).
- Act as the key point of contact for directors and shareholders on corporate governance matters.
- Support the Board and senior management in discharging their duties effectively and in line with applicable laws and regulations.
- Monitor changes in relevant legislation and the regulatory environment, ensuring timely communication and compliance.
Qualifications
- Bachelor’s degree or higher in Law.
- Minimum of 8 years’ experience in the legal field, preferably within real estate, property management, or related industries.
- Proven expertise in contract drafting, review, and negotiation both in Thai and English version.
- Solid understanding of contract law, business law, corporate law, land law, and securities regulations.
- Hands-on experience in company secretarial work, including Board/Shareholder meetings and regulatory filings.
- Excellent analytical, research, and problem-solving skills.
- Strong command of English (written and spoken), particularly legal terminology.
- Strong communication skills in Thai as native language.
- Ability to work independently with confidence while fostering collaboration across teams.
- Proactive, professional, and adaptable approach to work.
- Strong organizational and interpersonal skills, with the ability to manage multiple priorities in a fast-paced environment.
